Terms of Service for Front Range Computer Solutions LLC

These Terms of Service ("Terms") govern the provision of computer solutions services by Front Range Computer Solutions LLC ("Agency", "we", "us") to you ("Client", "you"). By engaging our services, you agree to be bound by these Terms.

1. Scope of Services

The Agency will provide the computer solutions services as described in a mutually agreed-upon Statement of Work (SOW). The SOW will detail specific deliverables, timelines, and service fees.

2. Payment Terms

Fees for services will be invoiced as set forth in the SOW. Payments are due upon receipt of the invoice unless otherwise specified. Services are typically billed on a recurring monthly basis in advance. The Agency reserves the right to suspend services for overdue accounts.

3. Timelines and Client Responsibilities

The Agency will use commercially reasonable efforts to meet project timelines. However, all timelines are good-faith estimates. The Client agrees to provide timely feedback, approvals, and any necessary materials (e.g., access to accounts, brand assets, content) required for the Agency to perform its services. Delays on the Client's part may result in adjustments to project timelines and fees.

4. Confidentiality

Both parties agree to maintain the confidentiality of the other's proprietary information. The Agency will not disclose any of the Client's confidential business information or campaign data to any third party without the Client's prior written consent, except as required by law.

5. Intellectual Property

Upon full payment of all fees due, the Client shall own all final deliverables created by the Agency specifically for the Client under the SOW. The Agency retains ownership of all its pre-existing materials, tools, and methodologies, and reserves the right to use project deliverables in its portfolio and marketing materials.

6. Disclaimer of Guarantees

The Client acknowledges that technology services are subject to factors outside of the Agency's control, such as vendor outages, third-party platform changes, and evolving cybersecurity threats. Therefore, the Agency does not guarantee specific results or return on investment (ROI). The Agency guarantees to perform services to the best of its ability and in a professional manner.

7. Limitation of Liability

In no event shall the Agency's total liability to the Client for any and all claims, losses, or damages arising out of or relating to this agreement exceed the total amount of fees paid by the Client to the Agency in the three (3) months prior to the event giving rise to the claim.

8. Term and Termination

The term of the agreement will be specified in the SOW. Either party may terminate the agreement with written notice as outlined in the SOW. Upon termination, the Client is responsible for paying for all work performed up to the effective date of termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Front Range Computer Solutions LLC is registered.

10. Amendments

Front Range Computer Solutions LLC reserves the right to amend these Terms at any time. Clients will be notified of any material changes. Continued use of our services after such notification constitutes acceptance of the amended Terms.
